Terms of Use

Welcome to LetCatch, a comprehensive digital platform designed, built, and operated by Obuaba LTD ("Obuaba", "we", "us", "our"), a company duly incorporated under the Companies Act, 2019 (Act 992) of the Republic of Ghana. Obuaba LTD operates LetCatch as an integrated digital ecosystem providing social communication, a multi-category marketplace, live streaming, music, digital learning, financial tools, food delivery, job listings, talent booking, voting, gaming, tourism, and many other services (collectively, the "Platform" or "Services").

These Terms of Use ("Terms", "Agreement") constitute a legally binding contract between you ("User", "you", "your") and Obuaba LTD governing your access to and use of the LetCatch Platform — including the website at letcatch.com, all mobile applications, browser extensions, APIs, and any associated products or services offered by Obuaba LTD.

By registering an account, accessing, browsing, or using any part of the Platform in any manner, you confirm that:

• You have read, understood, and agree to be fully bound by these Terms
• You are at least 16 years of age (or the minimum age of digital consent in your jurisdiction, whichever is higher)
• Where you register on behalf of a business or legal entity, you have the authority to bind that entity to these Terms
• You will comply with all applicable Ghanaian laws, regional regulations, and international laws that govern your use of the Platform

If you do not agree to any provision of these Terms, you must immediately cease using the Platform. These Terms incorporate by reference our Privacy Policy, Community Guidelines, Cookie Policy, and any product-specific terms published on the Platform. In the event of a conflict, these Terms take precedence unless a product-specific agreement expressly states otherwise.

The Platform is governed by and interpreted in accordance with the laws of the Republic of Ghana. Any legal proceedings arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ghana, without prejudice to any mandatory consumer protection rights you may hold under the laws of your country of residence.

To access most features of the Platform, you must register and maintain an account. Your account is personal to you and may not be shared, sold, transferred, or assigned to any other person or entity without our prior written consent.

When registering, you agree to:

• Provide accurate, complete, current, and truthful information about yourself
• Promptly update your account information whenever it changes to ensure it remains accurate
• Choose a strong, unique password and keep it strictly confidential at all times
• Enable multi-factor authentication (MFA) where offered, particularly before conducting financial transactions
• Notify us immediately at security@letcatch.com if you suspect any unauthorised access to or use of your account
• Accept full responsibility for all activity that occurs under your account, whether or not you authorised it

You must be a natural person to register a personal account. Businesses, organisations, and professional service providers may register business accounts subject to additional verification requirements, including submission of valid registration documents, a tax identification number, and proof of authorised signatory.

Obuaba LTD reserves the right to verify your identity at any time, including through third-party Know Your Customer (KYC) and Anti-Money Laundering (AML) checks, as required under Ghanaian financial regulation and best-practice compliance standards. You expressly consent to such verification. Refusal to complete verification may result in restricted access to financial features or account suspension.

You may not create more than one personal account. Duplicate or impersonation accounts are strictly prohibited and may be removed without notice. Accounts created using false information, automated scripts, or for the purpose of evading a prior suspension violate these Terms and will be terminated permanently.

The LetCatch Platform is a community built on mutual respect, safety, and trust. By using the Platform, you commit to upholding these values. You agree to use the Platform only for lawful purposes and in a manner consistent with these Terms and our Community Guidelines.

You expressly agree NOT to:

• Post, transmit, or distribute content that is unlawful, defamatory, abusive, threatening, harassing, obscene, pornographic, paedophilic, racially or ethnically offensive, or otherwise objectionable under Ghanaian law or international standards
• Impersonate any person, business, organisation, official, or public figure, or misrepresent your identity or affiliation in any way
• Upload, share, or transmit malware, spyware, viruses, Trojan horses, bots, or any other malicious code or disruptive software
• Use automated tools (crawlers, scrapers, scripts, robots) to access, extract, copy, or monitor the Platform or its content without our prior written permission
• Circumvent, disable, or interfere with security features, access controls, rate limits, or any technical protection measures on the Platform
• Engage in, facilitate, or promote any form of fraud — including but not limited to payment fraud, identity theft, phishing, fake reviews, counterfeit goods, or Ponzi schemes
• Sell, offer, or advertise illegal goods or services, controlled substances, weapons, or any item prohibited under the laws of Ghana or the user's country of residence
• Harass, bully, stalk, threaten, or intimidate any other user in any manner, including through private messages or comments
• Exploit minors or share any content that sexualises or endangers persons under 18 years of age — any such content will be reported to law enforcement and the account permanently banned
• Manipulate voting, elections, polls, or community governance features through bots, purchased votes, or coordinated inauthentic behaviour
• Engage in market manipulation, price gouging, or deceptive commercial practices on the marketplace
• Use the Platform to advertise competing services or send unsolicited commercial messages (spam) to other users

Obuaba LTD operates a Trust and Safety team that monitors for policy violations. We reserve the right to remove content, restrict features, suspend, or permanently terminate accounts that violate this policy without prior notice and without liability. Serious violations — particularly those involving minors, financial fraud, or threats of violence — will be reported to the relevant Ghanaian and international law enforcement authorities.

LetCatch provides an integrated digital wallet and financial services layer that enables users to store value, make payments, receive earnings, purchase credits, send gifts, and transact within the Platform ecosystem. These financial services are an integral part of the LetCatch Platform operated by Obuaba LTD.

By using the LetCatch Wallet or any financial feature on the Platform, you agree to the following:

• You are solely responsible for all transactions made from your account. You must not make payments or transfers on behalf of third parties without proper authorisation.
• All deposits, withdrawals, and transfers are subject to transaction fees and limits as published in our Fee Schedule, which may be updated from time to time with advance notice.
• Wallet top-ups and purchases are processed through integrated payment providers including mobile money operators (MTN MoMo, Telecel Cash, AirtelTigo Money) and card payment gateways. By initiating a payment, you agree to the terms of the relevant payment provider.
• Funds held in your LetCatch Wallet are not covered by any government deposit insurance scheme. Obuaba LTD holds user wallet funds in segregated accounts and does not use them for its own operations.
• CatchCoins and other platform-native digital credits are virtual items with no cash value outside the Platform. They cannot be converted to fiat currency or transferred to external wallets unless a specific withdrawal feature is explicitly offered for that credit type.
• All financial transactions are final once confirmed. Refunds and chargebacks are processed only in accordance with our Refund Policy. Attempting to reverse a legitimate transaction through your payment provider (a "chargeback") without first contacting our support team constitutes a breach of these Terms.
• You must not use the Wallet to launder money, finance terrorism, evade taxes, or process funds from illegal activities. We are required to report suspicious transactions to the Financial Intelligence Centre (FIC) of Ghana and other relevant authorities.
• In the event of a disputed transaction, you must raise the dispute through our official support channels within 30 days of the transaction date. Claims submitted after this period may not be eligible for review.
• Obuaba LTD reserves the right to freeze, hold, or confiscate wallet funds pending investigation if we have reasonable grounds to believe the funds are connected to fraudulent, unlawful, or policy-violating activity.

All intellectual property rights in and to the LetCatch Platform — including but not limited to the software, source code, algorithms, databases, design, graphics, logos, trademarks, trade names, service marks, user interface layouts, written content, audio and video content produced by Obuaba LTD, and any other creative works — are owned exclusively by Obuaba LTD or its licensors and are protected under Ghanaian copyright law (Copyright Act, 2005, Act 690), trademark law, and applicable international intellectual property treaties to which Ghana is a party.

Grant of Limited Licence: Subject to your compliance with these Terms, Obuaba LTD grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform solely for your personal, non-commercial use. This licence does not include any right to: reproduce, modify, distribute, create derivative works from, publicly display or perform, sell, or commercially exploit any part of the Platform or its content.

Your Content: You retain full ownership of all original content you create and upload to the Platform ("User Content"). By posting User Content on LetCatch, you grant Obuaba LTD a worldwide, royalty-free, non-exclusive, perpetual licence to use, host, store, reproduce, modify (for formatting and encoding purposes only), stream, publicly display, and distribute your User Content solely for the purpose of operating, improving, and promoting the Platform. This licence ends when you delete your content or close your account, except where your content has been shared by others or where retention is required for legal compliance.

You represent and warrant that: (a) you own all rights to your User Content or have obtained all necessary licences and permissions; (b) your User Content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party; and (c) you have all required consents from any individuals identifiable in your User Content.

Copyright Infringement: If you believe that any content on the Platform infringes your copyright, please submit a formal takedown notice to info@letcatch.com in accordance with the requirements of the applicable law. We will respond to valid notices promptly and may terminate the accounts of repeat infringers.

Obuaba LTD may, at its discretion, offer a referral programme that allows registered users to earn rewards, credits, or CatchCoins by inviting new users to register on the LetCatch Platform. The following terms govern participation in any such referral programme:

• Eligibility: Only users with an active, verified, and good-standing account are eligible to participate. Users whose accounts are under investigation, restricted, or suspended are not eligible to earn or redeem referral rewards.
• Reward Structure: Referral rewards are earned when a referred user successfully creates a verified account using the referrer's unique link or code and completes the qualifying action specified in the active promotion (which may include making a first transaction, subscribing to a service, or completing profile verification).
• One Reward Per Referral: Each referred user may generate a referral reward only once. Referring the same person multiple times, or referring yourself using alternate accounts, is strictly prohibited.
• No Self-Referral or Fraud: Creating fake accounts, using automated sign-up tools, purchasing referral traffic, or any other method of artificially inflating referral numbers is a serious violation of these Terms. Detected fraudulent referrals will result in forfeiture of all accumulated referral rewards, account suspension, and may be subject to legal action for fraud.
• Reward Expiry: Referral rewards not redeemed within the period specified in the current programme terms will expire and cannot be reinstated.
• Programme Changes: Obuaba LTD reserves the right to modify, suspend, or terminate the referral programme at any time with or without prior notice. Changes to the reward structure will not affect rewards already validly earned and credited prior to the change.
• Tax Obligations: Users are solely responsible for any tax obligations arising from referral rewards received. Obuaba LTD does not provide tax advice and is not liable for any tax liability incurred by users.

Either party may terminate the agreement established by these Terms at any time, subject to the conditions below.

Termination by You: You may close your account at any time by accessing Account Settings and selecting "Delete Account" or by submitting a written request to info@letcatch.com. Upon account deletion: (a) your profile and personal content will be removed from public view; (b) certain data may be retained for the legally required retention period under Ghanaian law; (c) any unredeemed wallet balance may be eligible for withdrawal subject to our Refund Policy and identity verification; and (d) CatchCoins and non-withdrawable in-platform credits will be forfeited.

Termination or Suspension by Obuaba LTD: We reserve the right — at our sole discretion, with or without prior notice, and without incurring any liability to you — to restrict, suspend, or permanently terminate your account and access to the Platform for any lawful reason including, but not limited to:

• Breach of any provision of these Terms or our Community Guidelines
• Provision of false, misleading, or fraudulent information during registration or verification
• Engaging in or facilitating fraudulent, illegal, or abusive activity on the Platform
• Non-payment of any outstanding fees, fines, or obligations owed to Obuaba LTD
• Receipt of a legitimate court order, regulatory directive, or law enforcement request
• Extended account inactivity (accounts with no login activity for 24 consecutive months)
• Any action that Obuaba LTD reasonably believes poses a risk to the safety of other users, the integrity of the Platform, or the reputation of Obuaba LTD

Effect of Termination: Upon termination, your licence to use the Platform immediately ceases. All provisions of these Terms that by their nature should survive termination — including ownership of intellectual property, disclaimers, indemnification obligations, and dispute resolution — shall continue in full force and effect.

If you believe your account has been suspended or terminated in error, you may appeal by contacting appeals@letcatch.com within 30 days of the action. We will review all appeals in good faith and respond within 14 business days.

To the fullest extent permitted by applicable Ghanaian law and any other applicable jurisdiction, Obuaba LTD, its directors, officers, employees, agents, licensors, and service providers expressly disclaim all warranties, representations, and conditions — whether express, implied, or statutory — including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

The Platform is provided on an "as is" and "as available" basis. Obuaba LTD makes no warranty that:

• The Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components
• The results obtained from use of the Platform will be accurate, reliable, or meet your expectations
• Any defects or errors in the Platform will be corrected

Limitation on Damages: To the maximum extent permitted by law, in no event shall Obuaba LTD or any of its affiliated entities be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages — including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, or the cost of procuring substitute services — arising out of or in connection with your use or inability to use the Platform, even if Obuaba LTD has been advised of the possibility of such damages.

Cap on Liability: Where liability cannot be entirely excluded by law, the total aggregate liability of Obuaba LTD to you for any claim arising under or in connection with these Terms shall not exceed the greater of: (a) the total amount paid by you to Obuaba LTD in the three calendar months immediately preceding the event giving rise to the claim; or (b) GHS 500 (Five Hundred Ghana Cedis).

Indemnification: You agree to indemnify, defend, and hold harmless Obuaba LTD, its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Platform in violation of these Terms; (b) User Content you post or transmit; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) any allegation that your User Content caused damage to a third party.

Nothing in these Terms shall exclude or limit liability that cannot be excluded or limited under applicable consumer protection or mandatory statutory law.

Obuaba LTD reserves the right to amend, revise, update, or replace any part of these Terms at any time and for any reason, including to reflect changes in applicable law, new Platform features, evolving business practices, or improvements in legal clarity and user protection.

How We Notify You of Changes:

• For material changes — those that meaningfully affect your rights or obligations — we will provide at least 14 days advance notice by posting a prominent notice on the Platform, sending an in-app notification, and emailing the address associated with your account
• For minor or technical changes (such as correcting typographical errors or clarifying existing provisions without changing their effect), we may update these Terms without advance notice, and the changes take effect immediately upon publication
• The "Last updated" date at the top of this page always reflects when these Terms were last modified

Your Continued Use Constitutes Acceptance: If you continue to access or use the Platform after the effective date of any changes, you are deemed to have accepted the revised Terms. If you do not agree with a material change, you must cease using the Platform and may request account deletion before the change takes effect. Your only remedy if you do not agree to any revised Terms is to stop using the Platform.

We encourage you to review these Terms periodically. The current version of the Terms at any given time is the version published at letcatch.com/terms, and it supersedes all prior versions.

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. Entire Agreement: These Terms, together with the Privacy Policy and any other agreements expressly incorporated herein, constitute the entire agreement between you and Obuaba LTD regarding your use of the Platform and supersede all prior understandings, negotiations, representations, or agreements, whether oral or written.
